Terms and Conditions

1. OPERATOR IDENTIFICATION AND CONTRACTUAL SCOPE

These Terms and Conditions of Use, hereinafter the “Terms”, govern access to and use of eteriel.com, together with its versions adapted for devices, tools, accounts, forms, discussion spaces, encyclopedic content, commercial functions, and other services.

Eteriel combines three distinct functions: (i) publication and organization of encyclopedic and informational content; (ii) provision of discussion spaces related to the articles; and (iii) provision of technological infrastructure that enables independent sellers to list products and contact or enter into transactions directly with buyers. Each function is subject to the general provisions and special rules of these Terms.

By accessing, browsing, registering, posting, commenting, buying, selling, using site tools, or continuing to use Eteriel, the individual acknowledges that they have read, understood, and accepted these Terms.

2. DEFINITIONS

Article: encyclopedic content, guide, entry, explanation, informational review, reference, resource, or editorial material published on Eteriel.

Buyer: a person who purchases or attempts to purchase a product offered by a Seller through the Marketplace functions.

Content: text, comments, images, videos, audio, files, links, data, reviews, metadata, messages, product listings, and any material available on or submitted to Eteriel.

User Content: content contributed, posted, submitted, or otherwise made available by a User, Contributor, Buyer, or Seller.

Contributor: a User who proposes, drafts, corrects, comments on, translates, cites, supplements, or reviews editorial content.

Marketplace: listing, contact, cart, order, payment, messaging, reputation, or commercial management functions that connect Sellers with Buyers.

Payment Provider: a third party that authorizes, processes, collects, splits, settles, reverses, or facilitates payments and may require its own verification and terms.

Services: all Eteriel functions, including editorial, community, technological, and commercial functions.

Transaction: a purchase or sale transaction entered into between a Buyer and a Seller, even if payment or communication is facilitated by Eteriel.

User: any person who accesses or uses Eteriel, whether registered or not.

Seller: an independent person or company that registers to offer, sell, invoice, deliver, and be responsible for its own products.

References in the singular include the plural and vice versa where the context permits. Headings facilitate reading and do not limit interpretation.

3. ACCEPTANCE, CAPACITY, AND DOCUMENT HIERARCHY

To create an account, buy, sell, or assume contractual obligations, the User must satisfy the applicable age requirement, have legal capacity, and possess the authorizations required by law. Anyone acting on behalf of an organization represents that they have sufficient authority to bind it. Eteriel may request proof of identity, capacity, or representation.

Persons who do not have full legal capacity may use informational functions only under the supervision and authorization of their representative where permitted by law. Seller accounts, payment processing, and entry into Transactions are reserved for persons with the capacity to contract and fulfill commercial obligations.

The relationship is governed, as applicable, by: these Terms; the Privacy Policy; the terms displayed in the interface; the community rules; the commercial terms accepted by the Seller; the specific policies visible in each listing; the Payment Provider’s terms; and any additional written agreement. In the event of a conflict, mandatory provisions shall prevail first; then the specific agreement applicable to the function or Transaction; and then these Terms.

Translations are provided to facilitate access. In the event of a discrepancy between versions, the version expressly identified by Eteriel as contractual shall prevail, without affecting mandatory language rights.

4. DESCRIPTION OF ETERIEL AND NATURE OF THE SERVICES

Eteriel offers digital infrastructure that may include, without any obligation to maintain all functions permanently:

publication, classification, search, and consultation of Articles;

references, links, bibliographies, and external sources;

tools for proposing corrections, contributions, or updates;

discussion spaces related to Articles and relevant experiences;

User profiles and accounts;

Seller registration and profiles;

publication of product listings by third parties;

messaging or contact mechanisms between Buyers and Sellers;

cart, order generation, technical payment processing, and commission calculation;

reviews, ratings, reports, moderation, fraud prevention, and support;

analytics, personalization, accessibility, translation, search, and service improvement functions.

Eteriel may add, modify, suspend, or remove functions for technical, editorial, legal, security, commercial, or sustainability reasons. A function’s description does not constitute a guarantee of continuous availability or an obligation to offer it in all locations or to all Users.

5. REGISTRATION, ACCOUNTS, CREDENTIALS, AND VERIFICATION

The User must provide accurate, current, complete, and non-misleading information. The User may not impersonate another person, register accounts to evade suspensions, use another person’s data without authorization, or conceal material information in order to access restricted functions.

Each account holder is responsible for:

protecting their password, keys, devices, and recovery methods;

limiting third-party access to their account;

reviewing activity and reporting unauthorized access;

updating their information and maintaining functional contact channels;

all actions taken through their account until Eteriel is notified and can take reasonable measures;

not selling, renting, transferring, or sharing accounts without express authorization.

Eteriel may verify email, telephone number, identity, address, bank account ownership, representation, business history, or compliance information, directly or through third parties. Verification mitigates certain risks, but does not constitute certification, recommendation, or a guarantee of honesty, solvency, quality, or future compliance.

Eteriel may reject registrations, limit functions, require additional authentication, or suspend accounts where there is inconsistent information, signs of fraud, security risks, violations, Payment Provider requirements, or legitimate legal reasons.

6. ENCYCLOPEDIC AND INFORMATIONAL CONTENT

Articles are intended for general, educational, documentary, and informational purposes only. Eteriel endeavors to organize useful content and support it with sources where possible, but does not guarantee that all material is accurate, complete, current, applicable to a specific case, error-free, suitable for a particular purpose, or uniformly accepted by specialists.

Content may reflect historical information, hypotheses, attributed opinions, personal experiences, translations, summaries, or third-party contributions. The presence of an Article does not mean that Eteriel endorses, recommends, certifies, adopts, or promotes the practice, product, idea, organization, source, or conduct described.

Users must consider the publication date, revision history, context, scope, warnings, quality of the sources, and possible subsequent changes. Eteriel may correct, expand, summarize, reorganize, label, archive, or remove content without any obligation to preserve a particular version.

The User assumes responsibility for deciding whether to consult, interpret, or use the information. To the fullest extent permitted by law, Eteriel is not liable for consequences arising from incorrect interpretation, application out of context, failure to follow safety measures, unlawful use, use by unqualified persons, or exclusive reliance on the content.

7. SOURCES, EXTERNAL LINKS, AND DUTY TO VERIFY

Citations, references, and links are included to enable the User to examine additional information. The User must read the original sources, verify that they remain current, identify potential conflicts of interest, and cross-check information before making decisions or following a guide.

Eteriel does not necessarily control external sites, authors, documents, repositories, services, or materials. A link does not imply affiliation, approval, or any guarantee of availability, security, or accuracy. Third parties may modify or remove their content and apply different terms or privacy practices.

When a source is inaccessible, disputed, outdated, or apparently incorrect, the User may report it by emailing [email protected] and identifying the Article, the reference in question, and the available evidence.

8. WARNINGS REGARDING PROFESSIONAL, TECHNICAL, OR RISK-RELATED INFORMATION

By merely publishing information, Eteriel does not provide medical, legal, financial, accounting, tax, psychological, veterinary, engineering, security, emergency, investment, diagnostic, certification, or any other individualized professional advisory services.

Content related to health, substances, food, electricity, machinery, physical activities, natural environments, safety, regulatory compliance, or other risk-related matters may require training, licensing, supervision, specialized equipment, or professional assessment. The User must stop if they lack the necessary knowledge, authorizations, physical condition, or safe means.

No Article replaces consultation with a competent professional who is familiar with the specific circumstances. In an emergency or dangerous situation, the User must not wait for a response from Eteriel or the community and must immediately contact the emergency services available in their location.

The foregoing warnings also apply to comments, personal experiences, community responses, reviews, links, and content contributed by Sellers. Users must not present opinions as diagnoses, guarantees, or professional instructions when they do not have the necessary qualifications.

9. DISCUSSION SPACES AND PARTICIPATION RULES

Discussion spaces exist exclusively to improve understanding of Articles, propose sources or corrections, ask related questions, explain interpretations, and share directly relevant experiences. They are not general-purpose social networks, advertising channels, dating services, off-topic political forums, parallel marketplaces, or messaging systems for unrelated activities.

All participation must:

clearly relate to the subject of the Article or to a relevant experience;

distinguish among facts, opinions, hypotheses, and personal experiences;

cite or describe sources when asserting disputed or technical facts;

maintain a respectful, understandable, and content-focused tone;

avoid disclosing unnecessary personal data belonging to the participant or to others;

respect copyright, privacy, image, reputation, and other third-party rights;

comply with moderation instructions and the labels applied to the space.

Discussion spaces may not be used for harassment, threats, intimidation, hatred, discrimination, humiliation, doxing, spam, coordinated campaigns, impersonation, deliberate disinformation, sales outside the Marketplace, fraudulent solicitation, unlawful instructions, exploitative sexual content, promotion of self-harm, disclosure of secrets, financial data, credentials, or any purpose unrelated to the Article.

Eteriel may close threads, limit replies, move content, request sources, conceal data, apply labels, slow down publication, remove messages, or restrict accounts in order to preserve the usefulness and safety of the community. Moderation does not make Eteriel the author or guarantor of each post.

10. USER-CONTRIBUTED CONTENT

The User retains any rights they legitimately hold in their User Content. By posting or submitting it to Eteriel, the User grants the Operator a non-exclusive, worldwide, royalty-free license, transferable in connection with a corporate reorganization and sublicensable to technical service providers, for the time necessary to provide the Services and, with respect to public content incorporated into the editorial history, for the reasonable period needed to preserve the integrity of the project.

The license permits Eteriel to host, reproduce, store, back up, display, communicate, distribute, technically adapt, convert formats, translate, summarize, index, make searchable, moderate, combine, quote, promote within Eteriel, and analyze the content in order to operate, protect, and improve the Services. This license does not authorize Eteriel to attribute to the User an opinion that the User did not express or to sell the User’s work as a standalone product, except under a separate agreement.

The User represents and warrants that:

the User is the author or has sufficient permission to contribute the content;

the content does not infringe intellectual property, privacy, image, confidentiality, or contractual rights or obligations;

factual statements are made in good faith and are not deliberately misleading;

the User has obtained the necessary consents from identifiable persons;

the content does not include malicious software, hidden instructions, or unauthorized tracking mechanisms;

the content complies with these Terms and applicable law.

The User understands that public contributions may be copied, quoted, indexed by search engines, responded to, or retained in histories. Account closure does not require the automatic removal of contributions incorporated into Articles, discussions, or transaction records when they are necessary for attribution, editorial integrity, fraud prevention, legal compliance, or the defense of claims. Eteriel will endeavor to disassociate or pseudonymize data where reasonable and legally required.

11. PROHIBITED CONDUCT AND USES

In addition to other prohibitions, no User may:

use Eteriel to violate applicable laws, third-party rights, orders, or restrictions;

circumvent access controls, limits, verification, commissions, anti-fraud measures, or account restrictions;

interfere with servers, networks, interfaces, data, or site availability;

introduce malware, harmful code, abusive automated loads, or vulnerabilities;

extract, copy, or collect data on a large scale where prohibited by the interface, robots instructions, law, or authorization;

create false accounts, manipulate reviews, inflate activity, coordinate votes, or simulate Transactions;

obtain data concerning other Users for advertising, harassment, surveillance, or incompatible purposes;

post unlawful, dangerous, exploitative, fraudulent, defamatory, or harm-inciting content;

solicit payments, donations, investments, or sensitive information outside the authorized functions;

use Eteriel’s trademarks, design, or identity to create the appearance of sponsorship or representation;

reintroduce removed content or products without resolving the reason for removal;

use the Marketplace for money laundering, transaction triangulation, fictitious advances, commission evasion, or the circulation of funds without a genuine sale;

help another person engage in any of the foregoing conduct.

Good-faith security research is permitted only with prior authorization and within the program or channel designated by Eteriel. The discovery of a vulnerability must be responsibly disclosed to [email protected].

12. MODERATION, REPORTS, CONTENT REMOVAL, AND ENFORCEMENT MEASURES

Eteriel may use human review, rules, automated signals, community reports, and specialized providers to detect violations. There is no general obligation to review all content or products in advance, except where required by an applicable rule.

In response to a report or risk, Eteriel may, on a proportionate basis: request information; limit visibility; add warnings; pause a publication; remove content; cancel orders where possible; suspend payments; withhold payouts; preserve records; restrict functions; suspend or terminate accounts; prevent new registrations; notify affected persons, Payment Providers, or authorities; and take measures to prevent recurrence.

Measures may be taken without prior notice where there is a risk of harm, fraud, illegality, loss of funds, infringement of rights, technical interference, or a need to preserve an investigation. Where reasonable, Eteriel will provide the general reason and offer a review channel. Eteriel will not disclose information that would compromise security, third-party rights, investigations, or confidentiality obligations.

Reports must be made in good faith. Systematic abuse of reporting tools, false claims, or the submission of manipulated documents may result in measures against the reporting party.

13. INTELLECTUAL PROPERTY AND LICENSES

Eteriel’s structure, design, software, databases, trademarks, logos, trade names, visual elements, and proprietary content belong to the Operator or its licensors. Access to the site does not transfer ownership or grant any license other than the license necessary to use the Services in accordance with these Terms.

The license applicable to each Article, image, excerpt, source, or resource may be indicated alongside the content. In the absence of an express license, only viewing and personal or internal use permitted by law are authorized. Citations and links do not make third-party materials the property of Eteriel.

Anyone who believes that content infringes their rights may send a notice to [email protected] containing: identification of the right; the exact location of the material; an explanation of the infringement; contact information; a good-faith statement; documentation of representation; and a physical or electronic signature. Eteriel may request additional information, temporarily remove the material, and allow the publisher to respond.

Eteriel may reject notices that are incomplete, abusive, or manifestly unfounded. The parties are responsible for false or misleading statements made in takedown and response procedures.

14. NATURE OF THE MARKETPLACE AND SEPARATION OF RESPONSIBILITIES

The Marketplace is an infrastructure for contact and technological facilitation. Unless a listing expressly identifies Eteriel as the Seller, each product is offered and sold by an independent Seller, whose identity and terms must be displayed before purchase.

The sales contract is entered into directly between the Buyer and the Seller. Eteriel is not the manufacturer, owner, importer, distributor, warehouse operator, carrier, insurer, employer, partner, representative, fiduciary, or general agent of the Seller or the Buyer. Receipt of a commission for use of the platform does not, by itself, transfer ownership of the product or the Seller’s obligations to Eteriel, without prejudice to any responsibilities that a mandatory rule assigns to the Operator based on its actual conduct.

Eteriel may facilitate listings, messaging, verification, orders, payments, reputation, support, and voluntary dispute resolution. These interventions do not constitute a guarantee that a product is legal, authentic, safe, suitable, conforming, available, delivered, or accepted by the Buyer.

No provision shall be interpreted as an absolute exclusion of liability. Eteriel remains liable for its own non-waivable obligations, its own representations, the processing of data under its control, and any other liability that cannot legally be excluded.

15. SELLER REGISTRATION, VERIFICATION, AND GENERAL OBLIGATIONS

To sell, the Seller must complete the onboarding process, accept these Terms, provide the requested information, and pass the verifications required by Eteriel or the Payment Provider. Eteriel may request periodic updates to the information.

The Seller must provide and maintain, as applicable:

its legal name, trade name, and accessible contact information;

identification, business registration, address, and authorized representatives;

a payout account that it owns or is legitimately authorized to use;

tax information and the necessary permits, licenses, and certifications;

identification of the manufacturer, importer, or person responsible for the product, where applicable;

delivery, cancellation, return, warranty, and customer service policies;

safety information, age restrictions, warnings, and traceability;

any information requested for fraud prevention, sanctions compliance, anti-money laundering, or Payment Provider compliance.

The Seller is solely responsible for its activity, products, personnel, suppliers, inventory, storage, advertising, taxes, invoicing, delivery, after-sales service, warranties, safety recalls, and regulatory compliance. The Seller must retain sufficient documentation and provide it to Eteriel when reasonably necessary to investigate a claim or fulfill an obligation.

The Seller may not hold itself out as an employee, official representative, partner, or business establishment of Eteriel. It may use Eteriel’s trademarks only in accordance with the current guidelines and to state truthfully that it offers products on the Marketplace.

16. POSTINGS, PRODUCT LISTINGS, AND OFFER ACCURACY

Each listing constitutes a communication by the Seller. Before publishing it, the Seller must verify that it is complete, understandable, current, and non-misleading. At a minimum, it must state, where applicable:

the Seller’s identity;

the name, description, quantity, dimensions, materials, condition, and essential characteristics;

representative images and disclosure of defects, repairs, or variations;

the price, currency, taxes, shipping costs, and any additional charge;

availability, purchase limits, and the estimated preparation and delivery time;

compatibility, instructions, warnings, risks, and use or age restrictions;

origin, authenticity, and intellectual property rights;

the cancellation, return, refund, and warranty policy;

any condition that could materially affect the Buyer’s decision.

The Seller must not use misleading labels, omit charges, publish fictitious prices, claim nonexistent scarcity, manipulate comparisons, use photographs without authorization, promise unverifiable results, or conceal that a product is used, refurbished, customized, or subject to limitations.

Eteriel may require changes, documentation, or evidence; correct purely technical aspects; reduce visibility; or remove a listing. Review of a posting does not constitute approval or release the Seller from liability.

17. PROHIBITED OR RESTRICTED PRODUCTS AND ACTIVITIES

Goods, services, or activities that are illegal, dangerous, misleading, unauthorized, incompatible with the Payment Provider’s rules, or contrary to the safety and trust of the Marketplace may not be offered. Without limiting the foregoing, the following are prohibited or require prior express authorization:

counterfeit, stolen, unlawfully obtained, or intellectual-property-infringing products;

recalled or unsafe products, products with undisclosed defects, or products lacking mandatory warnings;

weapons, ammunition, explosives, devices intended to cause harm, or specially regulated components;

illicit, toxic, controlled, or hazardous substances and products that facilitate their manufacture or consumption;

exploitative sexual material, sexual services, content involving minors, or content involving a lack of consent;

persons, organs, tissues, human biological material, identity documents, or credentials;

animals, protected species, or wildlife products;

financial services, credit, investments, securities, betting, gambling, or unauthorized enrichment schemes;

malware, stolen credentials, or tools for intrusion, unlawful surveillance, evasion, or forgery;

content or merchandise that promotes terrorism, violent extremism, hatred, or exploitation;

fraudulent academic services, false documents, votes, reviews, or artificial traffic;

any category prohibited by Eteriel’s or the Payment Provider’s current policies.

Eteriel may update restrictions in response to emerging risks, legal changes, or third-party requirements. The Seller must consult the rules before publishing and may not assume that the absence of a category from this list constitutes authorization.

18. FORMATION OF THE CONTRACT BETWEEN BUYER AND SELLER

A technical acknowledgment of receipt does not guarantee availability or obligate Eteriel to supply the product. If there is an obvious pricing error, lack of inventory, risk of fraud, legal impossibility, or technical failure, the Seller or Eteriel may cancel before delivery and arrange for the release or refund of the payment in accordance with the law.

The Seller’s specific terms visible before purchase form part of the Transaction contract. The Seller may not subsequently impose less favorable terms that were not disclosed.

Eteriel may generate an electronic receipt containing order information. The document does not mean that Eteriel is the Seller and does not replace the invoice or receipt that the Seller is required to issue.

19. PRICES, CURRENCY, TAXES, INVOICING, AND ADDITIONAL CHARGES

The Seller sets the price of its products and must do so taking into account Eteriel’s commission, its costs, taxes, shipping, returns, warranties, and other obligations. The price and charges must be displayed clearly before confirmation.

Unless the interface indicates otherwise, the Buyer will pay the product price, applicable taxes, shipping costs, and any expressly itemized charge. Hidden charges may not be added after confirmation without valid consent or a legal basis.

The Seller is responsible for determining, collecting, reporting, and paying its taxes, issuing invoices or receipts, and retaining records. Eteriel may calculate, withhold, report, or remit amounts where required by a rule or the Payment Provider, without thereby assuming the Seller’s other tax obligations.

Currency conversions, exchange rates, bank fees, and payment-method charges may be applied by third parties. Where available, the interface must display the charge currency and the total before payment.

20. ETERIEL’S TEN PERCENT COMMISSION

For each Transaction successfully processed through Eteriel, the Seller shall pay the Operator a platform commission equal to ten percent (10%) of the calculation base indicated in this section. The Seller acknowledges that this commission compensates for access to the Marketplace, the technological infrastructure, order generation, contact tools, support, fraud prevention, operational management, and other available functions.

Unless the Seller dashboard or a specific agreement indicates a different base before the sale, the commission will be calculated on the gross amount of the product price actually charged to the Buyer, after discounts applied to the product and before deduction of the Seller’s own costs. Mandatory taxes identified separately and shipping costs passed through in full to the carrier will not form part of the base where the interface treats them as excluded items. The exact base displayed in the dashboard before or at the time the order is accepted will prevail for that Transaction.

Illustrative example: if the calculation base for a Transaction is 100, Eteriel’s commission will be 10 and the gross balance attributable to the Seller will be 90, before taxes, Payment Provider fees, reserves, refunds, chargebacks, or other disclosed deductions.

The Seller is responsible for adjusting its prices to account for the commission. It may not charge the Buyer a hidden surcharge, present the commission as a tax, or alter the price after purchase. If a separate charge is permitted, it must be displayed transparently and be lawful.

For full or partial refunds, the commission will be recalculated or reversed proportionately when the amount is recovered, provided that the refund does not arise from a breach, fraud, prohibited conduct, or error attributable to the Seller. Where the refund or chargeback results from a cause attributable to the Seller, Eteriel may retain the commission for services already provided and pass through the associated costs, to the fullest extent permitted and in accordance with the information displayed to the Seller.

Manipulating the communication, order, or payment method for the primary purpose of evading the commission on a transaction originated, negotiated, or confirmed through Eteriel is prohibited. The Seller must not induce the Buyer to pay outside the authorized flow when the purchase was initiated on the Marketplace, unless Eteriel expressly permits that method.

21. PAYMENT PROCESSING, PAYOUTS, RESERVES, AND RECONCILIATION

Payments may be processed by one or more independent Payment Providers. To use these functions, the Seller and Buyer may be subject to verification, terms, privacy policies, limits, holds, and payment-method rules. Eteriel does not guarantee that all methods will be available to every person or Transaction.

Where the infrastructure permits, the payment may be split between the Seller’s account and the platform account corresponding to the commission. In other authorized cases, the Payment Provider may collect and settle the amounts according to its structure. Eteriel does not provide banking, deposit-taking, or credit services and must not be used to store funds belonging to others beyond the flow permitted for Transactions.

The Seller must complete the setup and verification of its payment account. Eteriel may prevent sales or payouts until verification is approved.

The following may be deducted from amounts payable to the Seller:

Eteriel’s commission;

Payment Provider fees expressly assigned to the Seller;

taxes, withholdings, or legally required obligations;

refunds, cancellations, chargebacks, reversals, and adjustments;

risk or security reserves;

amounts owed to Eteriel for other Transactions or breaches;

investigation costs, fines, or losses attributable to the Seller, to the extent permitted.

Eteriel or the Payment Provider may establish reserves, delay payouts, or offset balances where there is a risk of chargebacks, fraud, claims, breach, future sales, abnormal changes in volume, deferred-delivery products, or legal requirements. Where possible, the general reason and the conditions for release will be communicated.

22. CHARGEBACKS, REVERSALS, FRAUD, AND DISPUTED TRANSACTIONS

A payment may be rejected, reversed, or disputed after authorization. The Seller agrees to cooperate and provide proof of delivery, the product description, communications, acceptance of policies, and any requested evidence within the specified period.

Where a dispute relates to non-delivery, a different product, a defect, misleading advertising, unauthorized use of intellectual property, breach of warranty, insufficient documentation, or the Seller’s conduct, the Seller will be responsible for the amount, fees, and associated costs, unless the Payment Provider or a competent authority decides otherwise.

Eteriel may issue a refund, freeze funds, offset balances, or accept a Payment Provider resolution where reasonably necessary to protect Users, comply with network rules, or avoid losses. The intervention does not constitute an admission of Eteriel’s own liability.

The Buyer must not initiate duplicate claims simultaneously in order to obtain more than one refund. Abusive use of chargebacks, false documents, or misleading allegations may result in suspension and recovery of amounts.

23. SHIPPING, DELIVERY, LOSS, DAMAGE, AND TRANSFER OF RISK

Each Seller arranges and is responsible for the storage, packaging, dispatch, transportation, tracking, and delivery of its products, unless a specific function indicates that a third party provides any of those services. Eteriel is not a carrier or custodian merely because it displays tracking information.

Before purchase, the listing must state the delivery areas, cost, preparation time, estimated transit time, restrictions, and available method. Timeframes are estimates unless the law or the Seller expressly declares them guaranteed.

The Seller must:

use appropriate packaging and comply with safety and labeling requirements;

ship to the confirmed address and retain verifiable proof;

provide tracking where available;

report material delays and offer the options required by law or its policy;

investigate loss, damage, misdeliveries, and shortages;

bear the costs where the problem is attributable to the Seller or the law so provides.

The Buyer must provide an accurate, accessible, and authorized address, review restrictions, and cooperate with delivery. Costs resulting from incorrect information or unjustified refusal may be assigned to the Buyer if the Buyer was informed and the law permits it.

The transfer of ownership and risk will be determined by the Seller’s policy and applicable law. No provision will transfer to a consumer a risk that must remain with the Seller until actual delivery.

24. RETURNS, CANCELLATIONS, REFUNDS, WITHDRAWAL, AND WARRANTIES

Eteriel does not establish a single voluntary return policy for all products. Each Seller must publish, before purchase, its own cancellation, return, refund, and warranty policy and comply with it. That policy may never reduce the minimum rights, mandatory warranties, withdrawal periods, payment reversal rights, safety protections, or remedies that applicable law recognizes for the Buyer.

The listing and receipt must identify the channel for requesting a return. As an operational rule of the Marketplace, the Buyer must initiate the request through the order or contact the Seller through the indicated channel, describe the problem, and provide reasonable evidence. The Seller must acknowledge receipt and respond within the following 5 business days, without prejudice to shorter legal deadlines.

In general:

if the product was not delivered, differs from the order, arrived damaged, is unsafe or counterfeit, or has a covered defect, the Seller must offer the required remedies, which may include repair, replacement, a price reduction, cancellation, or a refund;

where the return results from the Seller’s breach, the Seller will bear the reasonable return costs where required by law;

where the Buyer changes their mind, the published policy and any mandatory right of withdrawal will apply;

exclusions for customized, perishable, hygienic, digital, used, or other types of products will be valid only if they were disclosed and the law permits them;

the refund will be made, where possible, to the original payment method and within the disclosed or legally required period;

the Seller may not condition a mandatory warranty on positive reviews, general waivers, or unauthorized payments.

Eteriel may facilitate communications, request evidence, pause a payout, propose a solution, or technically execute an authorized refund. The commercial decision and cost are the Seller’s responsibility, except where the problem is caused directly by Eteriel or a mandatory rule provides otherwise.

If the Seller does not publish a policy, the mandatory rules and the representations made in the listing will apply. The absence of a policy does not eliminate the Buyer’s rights or allow the Seller to reject every claim.

25. BUYER OBLIGATIONS AND DUE DILIGENCE

Before purchasing, the Buyer must review the Seller’s identity, the description, total price, compatibility, restrictions, delivery time, return policy, warranty, and available reputation information. The Buyer must ask questions where a characteristic is essential.

The Buyer is responsible for:

providing accurate payment, billing, and delivery information;

being authorized to use the payment method;

complying with applicable age, import, possession, use, and safety restrictions;

examining the product and following instructions and warnings;

not using products for unlawful or dangerous purposes or for purposes different from those disclosed;

reporting problems in good faith and avoiding duplicate or abusive claims;

not asking the Seller to omit taxes, documents, controls, or Marketplace rules.

The information in a listing does not replace the Buyer’s assessment of suitability, legality, or safety for the Buyer’s circumstances. In the case of technical or regulated products, the Buyer must obtain competent advice.

26. RATINGS, REVIEWS, AND REPUTATION

Reviews must be based on genuine experiences and must be honest, relevant, and respectful. Undisclosed paid, false, coordinated, extortionate, discriminatory, irrelevant reviews, or reviews used to disclose personal data, are prohibited.

Sellers and Buyers may not offer compensation in exchange for a positive rating, threaten another person because of a negative rating, or use related accounts to manipulate reputation. Legitimate incentives must be clearly disclosed and may not require a favorable opinion.

Eteriel may verify whether a Transaction occurred, order reviews, display averages, apply filters, label incentivized content, and remove noncompliant opinions. Ratings are expressions of third parties and do not constitute a guarantee of future performance.

27. DISPUTES BETWEEN BUYERS AND SELLERS

The Buyer and Seller must attempt to resolve issues directly through the order channel, retaining communications and evidence. The Seller must maintain a genuine and accessible customer-service channel.

Eteriel may offer informal mediation or resolution tools, but is not required to decide every dispute and does not act as a tribunal. It may request documents, propose deadlines, recommend a solution, freeze funds, or implement a Payment Provider decision. Eteriel’s participation does not replace rights before authorities, consumer redress mechanisms, or competent courts.

28. PRIVACY, DATA PROCESSING, AND COMMUNICATIONS

Eteriel’s processing of personal data is described in the Eteriel Privacy Policy, which is incorporated by reference. Sellers may receive data necessary to manage orders and act as independent controllers with respect to their own obligations. They must not use that data for incompatible purposes, unauthorized advertising, the sale of databases, or contact unrelated to the Transaction.

The User authorizes the sending of necessary operational communications, such as verification, security, account changes, orders, payments, deliveries, claims, and contractual amendments. Promotional communications will be managed in accordance with preferences and the required consent.

Messages within the platform may be analyzed or reviewed to the extent reasonably necessary for security, fraud prevention, support, moderation, and compliance, in accordance with the Privacy Policy.

29. THIRD-PARTY SERVICES, ADVERTISING, AND LINKED CONTENT

Eteriel may integrate hosting, analytics, maps, videos, messaging, authentication, payments, transportation, advertising, or other third-party services. Their availability and operation depend on those providers and may be subject to additional terms.

Sponsored content, advertisements, or commercial links must be identified where applicable. The presence of advertising does not mean that Eteriel guarantees the advertiser, product, or claim. The User must review the third party’s identity and terms.

Eteriel is not responsible for external sites, downloads, privacy practices, security, or third-party products, except for its own decisions or non-excludable duties. The User accesses external links at their own risk.

30. AVAILABILITY, TECHNICAL CHANGES, AND SERVICE CONTINUITY

Eteriel may perform maintenance, updates, migrations, tests, interface changes, storage limits, or function modifications. Interruptions, errors, temporary loss of access, or incompatibilities may occur.

Although Eteriel takes reasonable backup and continuity measures, the User must retain copies of any information or documents they need. Eteriel does not guarantee permanent storage.

Eteriel may discontinue a function. Where the measure materially affects outstanding obligations, Eteriel will endeavor to provide reasonable advance notice and facilitate a transition, except in the event of a security, legal, or technical urgency.

31. DISCLAIMERS OF WARRANTIES

To the fullest extent permitted by law, the Services are provided “as is” and “as available”. Eteriel does not guarantee that the site will be uninterrupted, error-free, completely secure, compatible with all devices, or meet particular expectations, or that all content or products will be correct, legal, authentic, available, or suitable.

Eteriel does not guarantee editorial, commercial, ranking, sales, reputation, revenue, traffic, learning, health, or safety outcomes, or decisions made based on the site. No support communication creates a warranty that is not expressly set forth in writing.

32. LIMITATION OF LIABILITY

To the fullest extent permitted, Eteriel will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages; loss of profits, opportunities, reputation, data, or savings; interruptions; decisions based on content; User conduct; Seller products; third-party failures; or unlawful or unsafe use of the information.

Eteriel’s total cumulative liability to a User for claims related to the Services will not exceed the fees paid directly by that User to Eteriel during the two months preceding the event. For a Seller, the limit may be the total commissions actually retained by Eteriel with respect to that Seller during the preceding two months, unless a specific agreement establishes another limit.

33. INDEMNIFICATION AND LIABILITY TO THIRD PARTIES

To the extent permitted, the User agrees to defend, indemnify, and hold harmless Eteriel, its affiliates, and personnel from third-party claims, losses, penalties, costs, and reasonable fees arising from: the User’s User Content; breach of these Terms; unlawful use; infringement of rights; fraud; or false information.

In addition, the Seller will be responsible for claims related to its products, safety, defects, intellectual property, advertising, taxes, invoicing, employment, delivery, warranties, returns, data used outside the Transaction, chargebacks, and lack of permits.

34. SUSPENSION, TERMINATION, AND ACCOUNT CLOSURE

The User may stop using Eteriel and request account closure by writing to [email protected]. Closure does not automatically cancel orders, payments, refunds, obligations, investigations, or liabilities already incurred.

Eteriel may suspend or terminate an account for breach; fraud or security risk; false data; prohibited products; repeated claims; nonpayment; commission evasion; a legal or Payment Provider requirement; prolonged inactivity; or discontinuation of the service.

Following termination: access will cease; postings may be removed; outstanding obligations will be processed according to risk; reserves will be maintained; the Seller must handle prior orders and claims; and Eteriel may retain records in accordance with the Privacy Policy. Provisions that by their nature must survive will remain in effect, including intellectual property, payments, disputes, limitations, indemnification, and preservation of evidence.

35. SECURITY, FRAUD, INVESTIGATIONS, AND PRESERVATION OF EVIDENCE

Eteriel may collect and analyze account, device, network, content, and Transaction signals to protect the service. It may share relevant information with Sellers, Buyers, security providers, Payment Providers, advisers, and authorities where necessary and lawful.

Eteriel may retain records, communications, network addresses, receipts, and documents for as long as necessary to prevent fraud and comply with legal obligations. Retention is governed by the Privacy Policy.

36. INTERNATIONAL ACCESS AND COMPLIANCE WITH APPLICABLE LAW

Eteriel may be accessible from multiple locations, but does not guarantee that all content, products, or functions are legal or suitable in each one. Each User must comply with the laws, permits, restrictions, taxes, export controls, sanctions, consumer protection, data protection, intellectual property, and safety requirements applicable to them.

The fact that a function is technically accessible does not constitute an invitation to use it where it is prohibited. Eteriel may limit access, products, payments, or deliveries based on location, risk, or compliance.

37. ELECTRONIC COMMUNICATIONS AND NOTICES

The User agrees to receive documents, receipts, notices, and communications by electronic means, including email, account notifications, or messages within the site, where permitted by law. The User must keep their contact information current.

Notices will be deemed received when they are made available in the account, sent to the registered contact, or prominently posted, unless the law requires another method. Notices to Eteriel must be sent through the channels indicated for each matter.

38. AMENDMENTS TO THESE TERMS

Eteriel may amend the Terms to reflect legal, technical, security, operational, or commercial changes. The current version will state the update date.

Continued use after the effective date constitutes acceptance where permitted by law. If the User does not accept, the User must stop using the affected functions and close their account, subject to fulfillment of outstanding obligations.

39. CLAIMS, DISPUTE RESOLUTION, AND MANDATORY PROVISIONS

Any claim must be sent to [email protected] and include the account, facts, dates, requested outcome, and relevant documents.

These Terms will be interpreted in good faith in accordance with the general principles of electronic contracting, transparency, fair trade, privacy, intellectual property, and liability, together with the applicable mandatory provisions. The applicable law, competent authority, and competent court will be determined by the mandatory rules of jurisdiction and conflict of laws, the nature of the parties, the Operator’s place of establishment, and the protections applicable to the User. A consumer will retain the non-waivable forums and rights recognized by applicable law.

Disputes between a Buyer and Seller are governed by the Transaction contract, the published policies, and applicable law.

40. GENERAL PROVISIONS

These Terms and the incorporated documents constitute the agreement applicable to the Services, without prejudice to specific agreements. No informal conversation modifies the Terms unless confirmed in writing by an authorized person.

If a provision is invalid or unenforceable, it will be interpreted or adjusted to the minimum extent necessary to make it valid and preserve its purpose. The remaining provisions will continue in effect.

Failure to exercise a right does not constitute a waiver. A waiver must be express and limited to the stated case.

The User may not assign their account or contract without Eteriel’s consent. The Operator may assign these Terms as part of a reorganization, financing, asset sale, or transfer of the service, ensuring continuity of privacy and notice obligations where applicable.

Nothing creates a partnership, employment, franchise, general agency, or fiduciary relationship between Eteriel and Users. The Seller acts as an independent business.

Eteriel will not be responsible for delays caused by events reasonably beyond its control, such as widespread failures of networks, power, providers, disasters, conflicts, government measures, attacks, epidemics, or logistical interruptions, provided that it takes reasonable measures to reduce the impact.
